Terms and Conditions for provision of Services
Vocademy Ltd will be referred to as Vocademy throughout this document.
These Terms and Conditions are the standard terms which apply to the provision of Services by Vocademy to Customers. Please read these Terms and Conditions carefully and ensure that you understand and agree to them. If you have any questions, please contact us.
Background
These Terms and Conditions apply:
A. to the provision of Services (as defined in Clause 1 below) Vocademy Ltd., incorporated and registered in England and Wales with company number 16423959 whose registered office is at Suite 21 10 Churchill Square, Kings Hill, West Malling, Kent, United Kingdom, ME19 4YU (“Vocademy”);
B. where the Customer is a “Consumer” as defined by the Consumer Rights Act 2015;
C. in return for the Fee payable by you (or any third party on your behalf), we agree to provide the Services as described below and in accordance with these Terms and Conditions; and
D. the provision of Services to you will commence from the date you receive your trial confirmation email
1. Definitions and Interpretation
In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:
“Business” - means any business, trade, craft, or profession carried out by you or any other person or organisation;
“Coach” - means an individual tutor who provides the Services more particularly described in Schedule 1;
“Coaching” - means the provision of coaching Lessons details of which are set out in Schedule 1;
“Consumer” - means a “consumer” as defined by the Consumer Rights Act 2015 and, in relation to these Terms and Conditions, means the Customer who receives or uses the Services provided by us, comprising one or more Lessons for the individual Customer’s personal use and for purposes wholly or mainly outside the purposes of any Business;
“Customer” - means you;
“Fee” - means the standard charge for each Lesson as set out in the Provisional booking email and these terms;
“Provisional booking email” - means the offer and Fee for the Services as detailed in the provisional booking email to you and as described in Schedule 1 to these Terms and Conditions;
“Regulations” - means The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013;
“Lesson” - means any individual Lesson of 30 minutes; 45 minutes or 60 minutes (or any other period that we agree on any occasion as the length of one or more particular Lessons) that we provide for you.
“Services” - means the provision of Lessons as defined in the provisional booking email and Schedule 1 these terms;
“Student” - An individual obtaining services from Vocademy Ltd
“Trial session” - means an initial 30-minute trial session provided free of charge in accordance with these terms and conditions
“we” “us” “our” - means Vocademy Ltd and anyone associated with the company
“you” “your” - means you, an individual Consumer to whom we agree to provide the Services.
2. How to contact us and the contract between us
2.1 How to contact us

2.2 You agree to provide us with personal information
Before the Services can be delivered, you agree to provide us with personal information and contact details. The information you provide is done so via the sign up form on the website and must be complete and correct.
(a) student full name and date of birth;
(b) if student is under 18, provide a parent or guardian name;
(c) your full postal address, telephone number and email address;
(d) parent/guardian postal address, telephone number and email address;
(e) that you agree to these Terms and Conditions
2.3 Our decision whether or not to accept your order for the Services is at our absolute discretion.
3. Coach
3.1 Your Coach for the trial session is the person named in the “pending trial” email.
3.2 The Coach assigned to any Lesson will be appropriately qualified and / or experienced at the appropriate level for that Lesson and will be competent to conduct that Lesson.
4. My Music Staff - Studio Management Platform
Vocademy uses My Music Staff, a studio management platform, to manage scheduling, invoicing, lesson records, communication, and general administrative services. All students, parents, or guardians are required to maintain an active My Music Staff account in order to participate in lessons with Vocademy.
5. Trial session
5.1 Students are entitled to one free trial lesson of 30 minutes per instrument.
5.2 If a student chooses to book a lesson for the same instrument with a different Coach, the lesson will not qualify for an additional free trial and will be charged at the standard lesson rate.
6. If you need to reschedule or cancel a free trial
6.1 Over 24 hours notice, 1 further trial to be offered
6.2 Under 24 hours notice or no notice given, any further trial session will be charged at the standard lesson rate. (If the cancellation is due to illness or emergency, it is at the Coach’s discretion as to whether another free trial session is offered)
6.3 If a student does not cancel and does not attend their booked trial session, any further sessions will be charged at the standard lesson rate.
7. Booking Lessons and confirmation of Lessons booked
7.1 Definitions
Recurring Students - Students who attend lessons on an ongoing basis, predominantly at a fixed day and time.
Flexible Recurring Students - Students who attend weekly or fortnightly lessons on an ongoing basis but whose lesson day or time vary from week to week.
Ad Hoc Students - Students who book lessons infrequently, on a non-regular basis or book one lesson a month.
7.2 Lessons can be booked via phone, text, email or in person directly with your Coach.
7.3 Recurring students: Lessons are booked and confirmed henceforward unless stated otherwise by student, parent/guardian or Coach
7.4 Flexible recurring students: Lessons are pre-paid for the month and scheduled directly with your coach throughout the month.
7.5 Ad Hoc Students: Lessons are confirmed when the Coach sends the lesson confirmation email.
7.6 All students will receive an automated text reminder 24hrs before their lesson
7.7 Students can also see their booked lessons in their calendar via their Student Portal in My Music Staff
8. The cost of the Lessons
The following Fees for 1 to 1 Lessons and 2 to 1 Lessons apply:
1-1 Lessons (1 Student):
30 minutes - £20
45 minutes - £29
60 minutes - £35
2-1 Lessons (2 Students):
45 minutes - £35
60 minutes - £45
10% Sibling discount:
Only available for 1-1 lessons)
9. How to pay
9.1 You must pay the Fee for all Lessons that we fully and correctly provide to you.
9.2 We are not currently required to register for VAT so no VAT will be applied to invoices
9.3 We’ll send you an invoice via email from Vocademy Ltd via My Music Staff.
(a) Recurring Students
You will receive an invoice on the 1st of every month.
(b) Flexible Recurring Students
You will receive an invoice on the 1st of every month
(c) Ad Hoc Students
You will receive an invoice when the Lesson has been scheduled.
9.4 If there is a problem with your invoice
Should there be a problem with your invoice then please contact Vocademy management at info@vocademy.co.uk or 07368 63175 within 7 calendar days of receiving your invoice. Both you and we agree to work in good faith to resolve the problem in a timely manner.
9.5 Payment Payments are made using the secure payment link (Stripe) on your invoice.
9.6 Payment to be made in full by the due date stated on your invoice
9.7 If you are late making payment then you may incur a late payment fee
(a) The day after the due date, a 5% late fee will be added to unpaid invoices.
(b) When the late fee is issued, upcoming lessons will be placed on hold for 48hrs. Any lessons that fall within the 48hr period are chargeable and student attendance is expected.
(c) If payment is made within 48hrs, or a payment plan is agreed, all future lessons are reinstated.
(d) If no payment or contact is made, lessons will be cancelled indefinitely. To restart lessons, contact your coach or info@vocademy.co.uk to inform them. At which point it will be at the coaches discretion and/or their availability whether they can facilitate lessons.
9.8 If payment is not made 6 weeks after the due date, with no contact/explanation from student/parent, Vocademy holds the right to start legal proceedings and/or refuse future Lessons.
10. Cancellation of the Coaching Agreement
10.1 As a Consumer, by default you have a legal right to a “cooling-off” period of 14 calendar days within which you can cancel the Coaching Agreement for any reason, including if you have changed your mind. The cooling-off period begins from the date of your first paid lesson
10.2 After the cooling-off period, you may cancel at any time subject to Clause 12.
10.3 If you wish to exercise your right to cancel under Clause 11, you may inform us of your cancellation by contacting us via your preferred method below. Cancellation by email or by post is effective from the date on which you send us your message.

In each case, provide us with your name, address, email address and telephone number.
10.4 Refunds for any cancellation with over 24hr notice under this Clause 10, will be issued within 14 calendar days from the date you informed us you wish to cancel.
10.5 Refunds under this Clause 10 will be made using the same payment method that you used when you purchased the Lessons (Stripe).
11. Cancellation Policy for Recurring/Flexible Recurring Students
11.1 Rescheduling Lessons
If a student requests to reschedule a lesson it is at the Coach’s discretion. If the lesson cannot be rescheduled it is classed as a cancellation.
11.2 No-Show Policy
If a student does not attend a scheduled lesson and no prior notice is given, the lesson will be charged in full.
11.3 Late Cancellations
Lessons cancelled with less than 24 hours’ notice will be charged in full.
11.4 Make-Up Credits (Only applicable to Recurring/Flexible Recurring Students)
Please note, Ad-Hoc students are not eligible for Make-Up Credits or Bonus Make-Up Credits
“Make-Up Credits” are lesson credits issued to a student for lessons cancelled and not rescheduled in accordance with these terms and conditions.
(a) If a lesson is cancelled with more than 24 hours’ notice, for any reason (including illness), the student will receive a Make-Up Credit
(b) The Make-Up Credit will be used to cover the fee for the students’ next lesson with the lesson fee being deducted from their next invoice.
(c) Make-up Credits issued will expire after 3 months.
(d) If a student has reached their Make-Up Credit limit, any further cancellations with any length of notice are to be charged at the standard lesson rate unless bonus make up credits are available or rescheduling the lesson is agreed by the coach.
(e) Make-Up Credits can only be issued within the current month. If a student would like to pre-book a Make-Up Credit for an upcoming month it will be logged as a Pending Make-Up Credit. Once the invoice has been sent for the relating month, the Pending Make-Up Credit will be reviewed and issued accordingly.
11.4.1 Make-Up Credit Limits for Recurring Students and Flexible Recurring Students
(a) Per student, per 3 month rolling period
(b) Weekly lessons: Maximum of 2 Make-Up Credits
(c) Fortnightly lessons: Maximum of 1 Make-Up Credit
11.4.2 Annual Bonus Credits:
Recurring Students and Flexible Recurring Students will receive 2 additional Bonus Make-Up Credits per year (1st September - 31st August), which may be used in the same way as regular Make-Up Credits.
New students that are commencing lessons part way through the year will be eligible for Bonus Make-Up Credits according to the following:
Commencing before the 1st January: 2 bonus Make-Up credits available
Commencing on or after the 1st January: 1 bonus Make-Up Credit available
12. Cancellation policy for AD-HOC Students
12.1 Less than 24 hours notice
Lessons cancelled with less than 24 hours’ notice are to be charged in full
12.2 Over 24 hours notice
Cancellations with over 24 hours notice, can be rescheduled 7 days prior/after the date of the initial lesson booking.
If the student or Coach is unable to reschedule the lesson, it is classed as a cancellation and charged in full.
13. Coach Lesson Cancellation
(a) Whether lessons run during Bank Holidays, Half Terms, Summer Holidays and the last 2 weeks of the year (Christmas and New Year period) is at the Coach’s discretion. Please seek confirmation from your Coach.
(b) If your Coach is not teaching at any time, this is not included in the cancellation policies and invoices will be amended accordingly.
(c) If your Coach confirms they are available for lessons, the cancellation policies apply.
(d) Students can request lessons with another Coach whilst their usual Coach is not teaching. To do so, email info@vocademy.co.uk
14. Gift Vouchers
14.1 All lessons pre-paid via the gift voucher must be redeemed within 6 months of purchase date (date payment is received).
14.2 Gift Vouchers cannot be redeemed for cash, be refunded, balance consolidated to a new voucher or replaced after expiry date.
14.3 The only instance in which a gift voucher will be refunded/extended is due to lack of suitable lesson availability at Vocademy.
14.4 If the lesson fee exceeds the gift voucher value, the balance must be paid prior to the lesson.
14.5 Gift Voucher cannot be resold or redeemed by anyone other than the named recipient
14.6 Lessons paid for using a gift voucher are subject to Vocademy's standard Terms and Conditions
15. DBS Check
All Vocademy Coaches hold current enhanced DBS Checks. Please feel free to contact either your Coach or Vocademy at info@vocademy.co.uk if you would like to see a copy of your Coach’s DBS Certificate.
16. Termination
16.1 We may immediately terminate a Lesson or the contract between us if:
(a) your conduct during a Lesson is, in our reasonable opinion, unacceptable; or
(b) if it amounts to your breach of these Terms and Conditions.
16.2 You will not be entitled to any refund for a Lesson started but not completed in such a case.
17. Health and Safety and Professional References
17.1 If the Services are delivered at your workplace, both parties must follow health & safety, diversity, and security measures. For remote services via video conferences (e.g., Zoom, Google Meet, Microsoft Teams), it is compulsory to use both the camera and sound.
17.2 We will, on request, provide to you before you book any Lessons:
(a) Evidence of the Coach’s accreditations and qualifications; and
(b) Evidence of our insurance.
18 Rules
18.1 Lessons will not be recorded without mutual consent. You must not have any electronic device to record a Lesson except as we agree may be used in or after that Lesson for example, a recording device used specifically to record a Lesson or part of it.
18.2 Any information, materials, or teachings provided to students during lessons are for personal use only and must not be shared, distributed, or disclosed to any third party. Lessons are for the named student only; no other individuals may attend or observe unless prior agreement has been obtained from the coach.
18.3 If you do not comply with any of these requirements, we may cancel the Lesson without liability for any refund or other amount.
19. Events beyond our reasonable control
19.1 We will not be liable for any failure or delay in performing our obligations under these Terms and Conditions resulting from any cause beyond our reasonable control, including illness, lack of available facilities, non-performance by suppliers, any law or any action taken by a government or public authority, epidemic or pandemic, act of God, or any other similar or dissimilar event or circumstance that is beyond our control.
19.2 If any event described under sub-Clause 18.1 occurs that is likely to adversely affect our performance of any obligations under the contract, we will try to inform you as soon as is reasonably possible, our obligations will be suspended and any time limit that we are bound by will be extended accordingly. We will inform you when that event is over and provide details of any new dates, times or availability of Lessons, as necessary. You may, without liability to us, cancel any Lesson(s) which do not take place due to that event, and we will refund in full the Fee that you have paid us for the cancelled Lesson(s).
20. Limitation of Liability
20.1 Neither party is liable for indirect or consequential damages. Liability is limited to the Fee payable to us.
20.2 We will be responsible for any foreseeable loss or damage that you may suffer as a result of our breach of these Terms and Conditions or as a result of our negligence. Loss or damage is foreseeable if it is an obvious consequence of our breach or negligence or if it is contemplated by you and us when our contract with you is created. We will not be responsible for any loss or damage that is not foreseeable.
20.3 We provide all Lessons only for your personal and private use and purposes. We will not be liable to you for any loss of profit, loss of business, interruption to business or for any loss of business opportunity.
20.4 Whilst we will use our reasonable endeavours to ensure that you make satisfactory progress, results will depend on various factors, including, without limitation, number and frequency of Lessons, whether or not you adequately attempt or complete any tasks that we ask you to carry out before or after a Lesson, your aptitude, attitude, previous experience, and existing knowledge and skills. Satisfactory progress cannot be guaranteed, and we make no warranty or representation that any particular result will be brought about as a result of you taking part in any Lesson(s).
20.5 Nothing in these Terms and Conditions is intended to or will exclude or limit our liability for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation.
20.6 Furthermore, if you are a “Consumer” as defined by the Consumer Rights Act 2015, or you are a consumer for the purposes of any other consumer protection legislation, nothing in these Terms and conditions is intended to or will exclude, limit, prejudice, or otherwise affect any of our duties or obligations to you, or your rights or remedies, or our liability to you, under:
(a) the Consumer Rights Act 2015;
(b) the Regulations;
(c) the Consumer Protection Act 1987; or
(d) any other consumer protection legislation, as legislation is amended from time to time.

21. Changes to these Terms and Conditions
We may from time to time change these Terms and Conditions without giving you notice, but, we will use our reasonable endeavours to inform you on our website at www.vocademy.co.uk/termsandconditions as soon as is reasonably possible of any such change.
22. Your personal information and how we use it
22.1 Personal information provided by you to us in Lessons will be treated as confidential. It will not be disclosed to any third party without your prior consent save where required by law.
22.2 We will only use your personal information as set out in our Privacy Policy attached at Schedule 2.
23. Regulations
We are required by the Regulations to ensure that certain information is given or made available to you as a Consumer before we make our contract with you (i.e., before we agree a booking), except where that information is already apparent from the context of the transaction. We have included the information itself either in these Terms and Conditions for you to see now, or we will make it available to you before we accept your request to make a booking. All of that information will, as required by the Regulations, be part of the terms of our contract with you as a Consumer.
24. Information required by the Regulations
As required by the Regulations:
24.1 all of the information described in the Privacy Policy under paragraph 21 and at Schedule 2; and
24.2 any other information which we give to you about any Lessons, us and our business which you take into account when deciding to make a booking or when making any other decision about Lessons will be part of the terms of our contract with you as a Consumer.
25. Complaints
We always welcome feedback from you and, whilst we always use all reasonable endeavours to ensure that your experience as our Customers is a positive one, we nevertheless want to hear from you if you have any cause for complaint. If you have any complaints about any Lesson(s) or any other complaint about us, please raise the matter with us by telephone, email or post.
26. No Waiver
No failure or delay by us or you in exercising any rights under these Terms and Conditions means that we or you have waived that right, and no waiver by us or you of a breach of any provision of these Terms and Conditions means that we or you will waive any subsequent breach of the same or any other provision.
27. Law and Jurisdiction
27.1 These Terms and Conditions, and the relationship between you and us (whether contractual or otherwise) shall be governed by and construed in accordance with the law of England and Wales.
27.2 As a Consumer, you will benefit from any mandatory provisions of the law in your country of residence. Nothing in sub-Clause 26.1 above takes away or reduces your rights as a Consumer to rely on those provisions.
27.3 Any dispute, controversy, proceedings or claim between you and us relating to these Terms and Conditions and / or the Coaching Agreement, or the relationship between you and us (whether contractual or otherwise) shall be subject to the jurisdiction of the courts of England, Wales, Scotland, or Northern Ireland, as determined by your residency.

The Service Provider shall provide music, vocal and performance training services under the brand name “Vocademy Ltd”, including but not limited to the following services:

The Services may be amended, expanded or reasonably modified by the Service Provider from time to time.
